Introduction

Please review carefully the terms and conditions set forth below before using the Expertzzz.com web site. The terms "You", "Your", "User", or "Users" refer to anyone accessing our services or web site for any reason. This means the Visitor or Member accessing the Site or using the Services on the Site on his or her own behalf; or, if the Services on the Site are used on behalf of a company or organization, "you" means the Member for which the Services are used and the User who accesses the Site on behalf of such Member (and such User represents that he or she has the authority to do so on the Member's behalf). The terms "We", "Us", or "Our" refer to Expertzzz.com (or Expertzzz). The Expertzzz.com web site is offered to you conditionally on your acceptance of the terms, conditions, restrictions and notices contained herein. Expertzzz.com may amend or modify these terms and conditions without notice, effective immediately, by updating this posting. Your use of the Expertzzz.com web site constitutes your agreement to all such terms, conditions, restrictions and notices.

Note: For purposes of this agreement, Users are classified as Experts and Customers. The Experts users may be Expertzzz members or Expertzzz Contributors. The Experts users may be products and services buyers and products and services sellers.

1. Expertzzz Web Site Description

1.1. Expertzzz is a communication and collaboration platform for community software administrators and developers. It was created to support virtually any community software available on the Internet. Support is provided by all members and can be either free or paid.

1.2. All parts of the site are meant to serve as a platform for discussion, sharing and help. All systems are post moderated. However, the whole site is a cooperative endeavor. To maintain an environment conducive to quality, please agree to the following few basic guidelines and requests before using Expertzzz.com.

2. Common Terms

By joining Expertzzz.com, you agree to abide by the following simple common sense rules:

2.1. You certify that you are 13 years of age or over. All those individuals under 13 years of age will need a full release from their parents before posting any messages. This is in compliance with the Children Online Privacy Protection Act of 2000 (COPPA).

2.2. All parts of the system are moderated for foul language and aggressive commercialized promotional activity, such as pro-active soliciting (i.e. via forums or messengers) of other members to buy products or services.

2.3. Always be respectful of other users, the system, and the moderators. We put the system online in good faith, please use it in good faith.

2.4. When writing a forum post, adding information to Docz, or putting up your product description, please, be descriptive, specific, and succinct. This way, you will be clearly understood and referenced. Remember, people from all over the world read here with English as a second language.

2.5. Since this is interactive, and everyone who participates in Expertzzz.com is "in it together", please treat others the way you wish to be treated. Personal attacks are not allowed nor tolerated. Should anyone use inappropriate language, start a personal attack, or engage in hate speech, they will be barred from all further discussions and any use of the system.

3. Membership

3.1. Membership is absolutely free. Expertzzz provides an opportunity to find help, share information and make money. We run this site primarily as a "Contributionware" platform, so we rely on people subscribing as "Contributors". Please click here to understand why it is so essential for you to become a Contributor.

3.2. Alternatively you can gain contributor status for doing something valuable for the Expertzzz community. In this case you need to contact us, tell us about your contribution and apply for Contributor status.

3.3. Herein you agree that contribution monthly fee and discounts can be changed by Site Administration at any time without previous notification.

4. User Accounts

4.1 To become a Member and use the services available from the Site you must register for an "Account". You will provide true, accurate and complete information as prompted by the registration form, and update such information to maintain its truth, accuracy and completeness. You must safeguard the Member ID and password you use to access this Site. We may rely on any use of the Site with your Member ID and password as authorized by you.

4.2. Usernames that we feel are inflammatory, vulgar, promotional, or rude will be removed along with the respective accounts.

4.3. You are only authorized to create one (1) user account either as a buyer or as a seller at any given time. You are strictly prohibited from creating user account(s) as both a buyer and a seller or creating multiple user accounts under different usernames, identities and business entities. Any violations will result in full suspension of your user account(s) without any further notice.

5. Registration Information

5.1. You agree to provide true, accurate and complete information as prompted by the Registration form, and to update this information to maintain its truthfulness, accuracy and completeness. Expertzzz.com may suspend or terminate your Account if information you provide is not complete or accurate.

6. Safeguarding Your Password

6.1. You agree to safeguard the User ID and password you use to access this Site. You authorize us to assume that any person using the Site with your User ID and password either is you or is authorized to act for you. Further, your Expert Account (including feedback) and User ID may not be transferred or sold to another party.

7. Posting Content

7.1. Because your posting may be more pertinent to another ongoing discussion, or it might spawn its own thread, it may be moved as Expertzzz moderators see fit.

7.2. Messages describing anything against the law will be removed as soon as possible. Any discussion of those are off topic.

7.3. Expertzzz Forumz is a platform for sharing information and for helping others. Forumz is NOT a classifieds board for products or services. Hence, a question in forum should be followed by discussion, answers or anything else, but not soliciting to write directly to your e-mail to get the answer. Promotional posts on forums will be deleted, since they clutter the forum with ugly cross-promotional spam. Also, please do not drop promotional URLs, signature files, nor specifics that would lead people to your site, unless it serves as a meaningful and absolutely necessary part of the particular discussion. Signing your name is fine, however commercialized posts or resume signatures will be edited. We tend to err on the side of caution to protect the integrity of the system. Affiliate based URLs are not allowed anywhere on the system.

7.4. No press releases, newsletters, web pages, or copyrighted content may be inserted into Forumz. Minor fair use excerpts of less than one paragraph (4 sentences) may be used if the content is publicly available on the Internet. All other forms of inserted content from press releases, newsletters, web pages, or any other copyrighted content placed into messages will be removed without exception. A link to the content is acceptable and appropriate.

7.5. Please keep your language clean and decent. This includes personal inflammatory language as well as obscenities.

7.6. Please stay within the topic area of the forum in which you are posting a message, and within any topic that another poster may have started.

7.7. You agree not to hold Expertzzz.com site or its members liable for anything stated within the Forumz.

7.8. The Forumz are not a venue for advertisements in any way. It will be the sole discretion of Expertzzz and its moderators as to what constitutes an advertisement. The best way to advertise yourself is to help others and thus build your reputation.

7.9. You will not copy and retransmit any information from these forums without first getting the permission of the original author of the message and an Expertzzz.com administrator.

7.10. Discussions about moderator or administrator actions are welcome in email or local private messages, but should not be discussed in public forums. This is out of respect for the members and moderators or policy involved.

7.11. Self promotional URL drops and whisper campaigns are strictly forbidden within the forums and will be edited out.

7.12. Claims of action, flames, and calls to action against any company or person will be removed. This also relates to any companies, which may be considered Expertzzz.com competitors.

7.13. Messages posted at this site are the sole opinion and responsibility of the poster.

7.14. Personal information exposure. Anyone posting another member's personal details or web site details without permission will be banned.

7.15. When a message is placed in any forum system, you are granting a soft license to the site to use it.

8. Prohibited Activities

8.1. The following activities are not permitted on this Website and are a material breach of these Terms of Use:

• Using this Website for any purpose in violation of local, state, national or international laws;
• Posting material that infringes on the intellectual property rights or privacy rights of others;
• Posting material that is unlawful, threatening, harassing, malicious, hateful, abusive, slanderous, defamatory, obscene, embarrassing to others or otherwise contrary to the purpose of this Website, as determined by us at our sole discretion;
• Posting material that restricts or inhibits other users from using or enjoying this Website;
• Posting material that constitutes or encourages conduct that would constitute a criminal offense or give rise to civil liability;
• Posting material that contains a virus or other harmful component or false or misleading statements of origin or fact;
• Collecting information about others without their written consent;
• Engaging in any other conduct that is contrary to the purpose of this Website or, as determined by us in our sole discretion, that exposes us or any other person or entity related to this Website to any liability or detriment.

9. Reporting Violations

9.1. Violation of these rules may result in suspension or termination of your Account, in addition to all other remedies available to Expertzzz or other Users or Members. If you are aware of a potential violation, please contact us via feedback@expertzzz.com.

9.2. By preventing violations and banning individuals who do violate the terms, we can presently keep our fees low, possibly lower those fees in the future, and generally provide a better service for everyone. Please help Expertzzz.com by reporting any violations. Thank You!

Billing and Payment Service Policy

10. Payment Processors

10.1. Payments for any type of products or services which are sold at Expertzzz are processed by the SWREG Inc. www.swreg.org and PayPal inc. www.paypal.com. To be able to sell any products or services at Expertzzz you should have your own SWREG or PayPal account. This account will be used by You to receive direct payments made at Expertzzz.com.

11. Currency

11.1. The Payment Service operates in US Dollars and therefore Expertzzz is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than US Dollars, nor is Expertzzz responsible for currency fluctuations that occur when receiving or sending payment via wire transfer, check or ACH to and from your Account.

12. Buying and Selling rules

12.1. Downloadz is a file-trading platform for community software extras. Selling or sharing files that are licensed by other companies or individuals which are not allowed to be publicly distributed is strictly prohibited.

12.2. Any sale and/or download is a deal between members, and Expertzzz.com is not liable in any manner for the contents of the sold/downloaded files and provides no support or financial backup for neither buyers nor sellers. Expertzzz.com is only a platform where the deal occurs and we even do not charge any fee for providing this platform. All refund, chargeback, support or backup issues should be settled between buyer and seller only.

12.3. Sellers are responsible for copyright protection of their products. Sellers should inform buyers about license details and should take care of license enforcement if necessary.

12.4. Expertzzz goal is to promote a safe trading environment for our members. When transaction problems occur, Expertzzz provides assistance by facilitating communication between Expertzzz members, however we are unable to take action on a member's behalf. This includes contacting a member directly to ask about the status of a sale. Since Expertzzz is not involved in the actual transaction, we cannot force a member to live up to his or her obligation.

12.5. We do not provide protection or insurance in the event that you didn't receive a purchased product, however, sellers who cheat will be barred from using Expertzzz if cheating is reported and proved.

12.6. The best protection for buyers is to know who they are purchasing from. We recommend buying only from members with a long account history, positive feedback who already has some quantity of points and an active Forumz participation history. These accounts are usually operated by people interested in keeping their transaction history free of any fraud.

12.7. Avoid buying products directly from the seller without processing at Expertzzz.com. This may be followed by lost communication after the sale, inability to download the product, and other annoying troubles.

12.8. Sellers should pay a 20% commission for all sales generated from or via their accounts at Expertzzz.com. This includes payments that were not registered by Expertzzz.com for any reason. The commission invoice should be paid within 20 days after arrival. If the invoice is not paid in full, we may ban and then delete your account and may use the remaining information to collect the missing amount of money.

12.9. The 20% fee goes for Expertzzz.com further development and improvement and is not a fixed charge. We are aimed in furtherance to reduce the service fee.

12.10. We will not charge a commission for refunded or cancelled orders. Evidence of refund, charge-back or cancellation should be provided to claim a commission discount.

12.11. Sellers should manually add the sale information if the sale is not registered. Attempts to cheat the system by avoiding sales registration and servicing customers directly and bypassing Expertzzz commissions payment will lead to account removal.

12.12. Sellers should use only those Payment options and gateways which are integrated with Expertzzz.com. They are SWREG and PayPal now. Alternatives are not allowed.

13. Jobz Rules

13.1. In order to submit new job offers or to place a bid, you should be a registered member of Expertzzz.com. For you as an Expert to place a bid, it is required that you have already configured your payment details.

13.2. A new job offer should be submitted to the appropriate product category and must be followed with detailed descriptions.

13.3. Expertzzz.com reserves the right to change, add or remove any bids or job offers without preliminary notification to the author.

13.4. Jobz provides you, as either a Customer or Expert, with a comfortable platform for project descriptions, bidding and communication. This is why all communication between Customers and Experts should take place only via the Expertzzz messaging module. You can contact any Expert at any time you wish with a single click. Any type of e-mail correspondence is not allowed, nor is the placing or passing of e-mail addresses.

13.5. All payments are made directly from a Customers to an Experts by means of PayPal payment system or a credit card payment processed via SWREG Inc., and all payments should be made via the Expertzzz payment form.

13.6. You agree that Expertzzz.com is not responsible for any issues with your payments. You, as a Customer and those persons who act as Experts agree to settle any refund, chargeback, support or back-up issues mutually and without any complaints to Expertzzz.

14. Dispute Resolution

14.1. Any disputes regarding arrangements between the Buyers and Sellers of any type of products and services remain solely between Buyers and Sellers. We are not involved in any transactions between You and any other users of Expertzzz.com. You acknowledge and agree that Expertzzz.com will not be a party to any such dispute or be obligated to take any action or refrain from taking any action toward resolving any such dispute. If you have a dispute with any other users of the Site, you hereby release Expertzzz.com from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, related to such a dispute.

15. What if I Have a Dispute?

15.1. In the event that you do encounter a dispute, we ask that you follow this: If you cannot come to an agreement regarding how to resolve your dispute with the other User, Expertzzz will assist you in mediating your dispute through attempts to contact both parties, provided you adhered to the Site Rules and followed the guidelines herein.

16. Removal From Network

16.1. The Site Administration may, in its sole discretion, terminate your account, and discontinue your participation. Clients in violation of the Site' Terms and Conditions will be immediately deactivated. The Site may deactivate Clients with no prior notification, though every effort will be made to notify the deactivated Client via the email address provided by the Client.

16.2. Clients found in violation of the Terms and Conditions will not receive any credit or payment from the Site. Clients that are terminated by the Site on any basis other than violation of these Terms and Conditions will be entitled to receive any payment due from the Site.

16.3. Reasons for the Site's determination to so terminate or discontinue your account or participation as provided for above include, but are not limited to this, if the Site Administration believes that you violated this Agreement or other policies or guidelines of the Site.

17. Termination

17.1. These Terms of Use constitute a binding agreement between you and us until terminated by you or us, which we may do at any time, without notice, in our sole discretion. If you become dissatisfied with this Website, in any way, your only recourse is to immediately discontinue use of this Website.

18. No Endorsement

18.1. We do not represent or endorse the accuracy or reliability of any advice, opinion, statement, Content or other information displayed, distributed or otherwise accessible on or through this Website. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum or information shall be at your sole risk. We reserve the right, in our sole discretion, to correct any errors or omissions in any portion of this Website.

19. Modifications to This Web Site

19.1. We may at our sole discretion change, suspend or discontinue any aspect of this Website at any time, including the availability of any Website feature, database or content. We may also impose limits on certain features and services or restrict users' access to part or all of this Website without notice or liability.
